1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the AI Appointment Closer platform (“Service”), operated by AI Appointment Closer (“Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

AI Appointment Closer is an AI-powered appointment booking and business management platform that enables merchants to automate customer communication, manage appointments, and connect with customers across multiple channels including website chat, SMS, Telegram, Instagram, WhatsApp, and more.

The Service includes a consumer-facing directory where customers can discover businesses, view profiles, and book appointments through AI-assisted conversations.

3. User Accounts

Registration

You must register for an account to access certain features. You agree to provide accurate, complete, and current information and to keep your account credentials confidential. You are responsible for all activity under your account.

Eligibility

You must be at least 18 years old to use the Service. By using the Service you represent that you meet this requirement.

Account termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct harmful to the platform or its users.

4. Merchant Terms

Business registration

Merchants must provide accurate business information. All listings are reviewed before going live. We reserve the right to reject or remove listings that violate our policies or applicable law.

Subscription and fees

Access to advanced features requires a paid subscription. Fees are billed as stated on our pricing page. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are issued at our discretion in accordance with our refund policy.

Content responsibility

Merchants are solely responsible for the accuracy of their listings, service descriptions, pricing, and availability. You must not post misleading, defamatory, or illegal content.

AI responses

While our AI is designed to represent your business accurately, you acknowledge that AI-generated responses may occasionally contain inaccuracies. You retain responsibility for commitments made through your AI assistant and should monitor conversations regularly.

5. Consumer Terms

Booking appointments

Appointments booked through the platform are agreements between you and the individual merchant. AI Appointment Closer is not a party to these agreements and is not responsible for services delivered by merchants.

Cancellations and refunds

Cancellation and refund terms are set by each merchant. Review a merchant's policy before booking. We do not guarantee refunds or handle disputes between consumers and merchants.

Accuracy of information

Business information displayed on the platform is provided by merchants. We do not verify the accuracy of this information and are not liable for errors or omissions.

6. AI and Automated Services

Our Service uses artificial intelligence and automated systems to facilitate conversations and appointment booking. You acknowledge that:

• AI responses are generated automatically and may not be perfect.
• Conversations may be processed and stored to improve AI quality.
• The AI operates within parameters set by the merchant and may escalate to a human at any time.
• You should not share sensitive personal or financial information through the AI chat.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by AI Appointment Closer and are protected by copyright, trademark, and other intellectual property laws.

By submitting content to the platform (business descriptions, images, videos), you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute that content solely in connection with operating the Service.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your data as described therein.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Impersonate any person or business, or misrepresent your affiliation with any entity.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Upload or transmit viruses, malware, or any other malicious code.
• Scrape, crawl, or use automated means to access the Service without our written permission.
• Use the Service to send unsolicited communications (spam) to any person.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI APPOINTMENT CLOSER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the effective date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
